WHAT IS THIS DOCUMENT?
This document is a template for an agreement for sale of goods where the goods are being sold for export.
It is intended to be used for where a relationship is more than a single order and there is a need to term a term and arrangements for that term.
Most of the legal content will be in the standard terms added at Schedule 4.
HOW SHOULD I USE THESE TERMS
Before using the terms read them carefully and make sure they are suitable. Obtain legal advice.

This Front Sheet and the attached Schedules (together the "Agreement") set out a framework agreement under which the Supplier agrees to supply the Customer certain goods.
The terms and conditions set out in Schedule 3 (Terms and Conditions of Sale) ("Conditions"), the special conditions set out in Schedule 2 (Special Conditions) ("Special Conditions") as well as the provisions set out in each other Schedule to this Agreement shall apply, and are incorporated into the Agreement.
By entering into Agreement, the Supplier agrees that it shall supply goods and to the Customer subject to, and in accordance with, the provisions of the Agreement.

Schedule 1
Commercial Terms
The defined terms in this Schedule below and in the Conditions shall apply to this Agreement.

This Agreement shall be deemed to have come into force on the Commencement Date and shall (subject to the provisions for earlier termination set out in this Agreement) continue in force for the Initial Period when it shall automatically terminate unless otherwise agreed in writing by the parties.
All Goods shall be delivered in accordance with the Delivery Term and the prices set out in Schedule 3 are on that basis.
The Goods, their price and the Specification are as described in Schedule 3.
If pursuant to the provisions of the Conditions the Supplier is entitled to terminate or suspend a Contract then the Supplier shall also be entitled, but not obliged, to terminate or suspend this Agreement.
In the event of a conflict or ambiguity between this Front Sheet and the Schedules the order of precedence is as follows: (a) first the Front Sheet; then (b) second Schedule 1 (Commercial Terms); then (c )third Schedule 2 (Special Conditions); then (d) fourth Schedule 4 (Terms and Conditions); and then (e) fifth all other Schedules.
